A. Purpose
The Lake Berryessa Resort Improvement District (LBRID) and the Napa Berryessa Resort
Improvement District (NBRID) are soliciting proposals (Proposals) from qualified firms (hereinafter
referred to as “Proposers”) experienced in the business of operating, maintaining, and managing water
and wastewater treatment and conveyance facilities.
B. Scope of Work
The Operations, Maintenance, and Management (OMM) scope of services (Services) is described
further in Exhibit B, which is attached hereto and incorporated herein by this reference. LBRID and
NBRID may be referred to below individually as “District” or collectively as “Districts.”
C. Term of Contract
Term of contract is anticipated to be five (5) years, comprised of an initial three (3) year term with the
provision of two (2) additional one (1) year terms. The contract start date is anticipated to be July 1,
2024.

*These dates may be changed at the discretion of LBRID and NBRID. Changes to the due date for questions or due date
for proposal submittal will be made by written addendum.
E. Mandatory Site Meeting
A mandatory pre-proposal meeting will be held at 10:00 a.m. on Wednesday, March 13, 2024.
District staff will give Proposer representatives a tour of the LBRID water and wastewater facilities
starting at the membrane filter plant & wastewater tank located at 2446 Stagecoach Canyon Road in
Pope Valley. Parking shall be on Deputy Drive, nearest cross-street above the plant – parking bays are
available. From the LBRID facility, the group will then travel south to tour the NBRID wastewater
treatment facility, which is located across from Blue Cove Court, 1465 Steele Canyon Road. The tour
of the NBRID facilities will commence on that same day approximately one (1) hour after the end of
the LBRID tour, no later than 1:00 pm. NOTE - There are very limited options for lunch, it is
recommended that proposers bring bag lunch for the site meetings.
F. Submission Process
Respondents shall submit in a sealed envelope one (1) signed original proposal, three (3) identical
copies of original proposal, and one (1) electronic copy of proposal on a USB drive to:

Sealed envelope containing the original signed Proposal and copies should be marked as follows:
“Proposals for Operations, Maintenance, and Management of Water and Wastewater Facilities at
LBRID and NBRID”
Proposals received at the address listed above after March 28, 2024 at 4:00 p.m. will not be
considered under any circumstances and will be returned to the sender.
Proposals may be delivered in person, U.S. Mail, or Common Courier. No electronic or facsimile
copies will be accepted. It is the responsibility of the submitting party to insure timely delivery.
It is recommended that Proposals be submitted on paper that contains at least 30% recycled content
and printed on both sides (duplex).
Proposals must be submitted following the format provided in this RFP. Proposals not submitted in
the manner prescribed herein may be rejected as non-responsive. One Proposal should cover services
to be provided to both Districts. DO NOT SUBMIT DIFFERENT PROPOSALS FOR EACH
DISTRICT.
G. General Conditions
By submitting a Proposal, the Respondent represents and warrants that:
(a) The information provided is genuine and not a sham, collusive, or made in the interest or on
behalf of any party not therein named, and that the Respondent has not directly or indirectly induced
or solicited any other respondent to put in a sham proposal, or any other respondent to refrain from
presenting information and that the prospective provider has not in any manner sought by collusion to
secure an advantage; and
(b) The Respondent has not paid or agreed to pay any fee or commission, or any other thing of value
contingent upon the award of an exclusive operating area, to any employee, official, or existing
contracting consultant of either District.

Neither District guarantees the accuracy of information posted or other information obtained from
third party organizations.
All Proposals become the property of LBRID and NBRID. Both Districts reserve the right to reject
any and all submittals or Proposals; to request clarification of information submitted; to request
additional information from Respondents; and to waive any irregularity in the submission and review
process. None of the materials submitted will be returned to the Respondent unless they are not
submitted in a timely manner.
Proposals will become a public record and available for release to the public upon selection of a
successful Respondent and an Intent to Award Notification is distributed. Respondents should not
include proprietary, trade secret, or other confidential information in their Proposals, and do so
at their own risk. If such information is included, Respondents must clearly identify it as

confidential, proprietary, or trade secret within the Proposal. The Districts will consider information
so identified as a request to withhold it, but the County may nonetheless release, redact or withhold
such information in its sole discretion. If the Districts redact or withhold such information, the
Respondent shall indemnity the Districts and defend, at its own expense, any legal actions or
challenges seeking to obtain the redacted or withheld information from the Districts. Nothing in this
RFP creates any obligation for the Districts to notify the Respondent or obtain the Respondent’s
approval or consent before releasing information subject to disclosure under the California Public
Records Act. Submitting a Proposal in response to this RFP shall constitute the Respondent’s
acknowledgement and acceptance of these provisions regarding the Public Records Act.
LBRID and NBRID reserve the right to award an agreement without further competition based on the
responses received to this RFP.
LBRID and NBRID reserve the right to contact references not provided in the submittals.
LBRID and NBRID reserve the right to incorporate its standard language into any contract resulting
from this solicitation. Contract templates for both districts are attached for reference. Templates are
attached for reference only and do not need to be signed or returned with proposal.
LBRID and NBRID reserve the right to reject the proposal of any submitter who previously failed to
perform properly, or complete on time, contracts of a similar nature, or to reject the Proposal of a
respondent who is not in a position to perform such a contract satisfactorily.
An individual who is authorized to bind the proposing entity or person contractually shall sign the
Proposals. The signature must indicate the title or position that the individual holds in the entity and
any other basis for the authority to sign for the Respondent. An unsigned Proposal shall be rejected.
California Prevailing Wage laws apply to this contract. Workers must be paid rates at least equal to
the established prevailing wage rate. California Prevailing Wage rates and other information are
available through the California Department of Industrial Relations web site at www.dir.ca.gov. In
accordance with Section 1773.2 of the Labor Code, the prevailing wage rates for classifications of
labor to be employed in the work are also on file at the County of Napa Public Works office.
Firms submitting proposals must be registered with the California Department of Industrial
Relations (DIR) pursuant to CA Labor Code Section 1725.5 and obtain a valid DIR registration
number prior to submitting proposal. Failure to provide a valid DIR registration number with
their fee proposal will disqualify respondent.
Contractor shall keep in effect at all times during the contract a valid Business License in the State of
California.
H. Modification or Withdrawal
Any modification, amendment, addition or alteration to any submission must be presented, in writing,
executed by an authorized person or persons, and submitted prior to the final date for submissions. An
individual who is authorized to bind the submitting agency contractually shall sign the modification,
amendment, addition, or alteration. The signature must indicate the title or position that the individual
holds in the firm. An unsigned modification amendment, addition, or alteration shall be rejected.
NO AMENDMENTS, ADDITIONS OR ALTERATIONS WILL BE ACCEPTED AFTER THE TIME
AND DATE SPECIFIED AS THE SUBMISSION DEADLINE UNLESS REQUESTED BY
EITHER DISTRICT.

At any time prior to the specified time and date set for the Proposal due date, a designated
representative of the responding agency may withdraw the submission provided that such person
provides acceptable proof of their identity and such person signs a receipt. No submissions may be
withdrawn or returned after the date and time set for final submission.
I. Information Resource
Questions about this RFP shall be submitted via email and be referred to:

Questions will not be answered that would tend to constitute an evaluation of a response being
prepared or that might give an unfair advantage to a potential respondent. Except for the above named
employee, potential respondents should not contact officials or staff of either District regarding any
aspect of this RFP. Any information provided outside this RFP process should not be relied upon by
respondents.
No prior, current, or post award verbal conversations or agreements with any officer, agent, or
employee of either District or any other person or entity shall affect or modify any terms or
obligations of this RFP or any agreement resulting from this process.
J. Organization of Proposal
Proposals shall contain the following information and shall be organized in the same order as
provided herein. Each of these section headers shall be listed in submitted proposal with pertinent
information provided under the specific header:
Interested firms should review Attachment A (District Introduction and Background) and Attachment
B (Scope of Services and Personnel Requirements) and other Exhibits as applicable in
consideration of response.
1. Cover Page. Cover page shall state RFP Title (“Proposals for Operations and Maintenance of
Water and Wastewater Facilities at the Berryessa Estates (LBRID) and the Berryessa Highlands
(NBRID)”); date of submission; and name and signature of the person who is authorized to make
decisions and represent the submitting firm with respect to this RFP. Proposal shall be valid for
no less than 90 days.
2. Company Information. This section shall state:
a. The legal name of the company which can enter into a contract with the Districts and any
alternate names for which the company is known (D.B.A.);
b. Mailing, and physical address(es);
c. Remit-to billing address;
d. Phone, fax, and website, if applicable;
e. Organization type;
f. Federal Tax I.D. number;
g. Federal Unique Entity ID number, if applicable;
h. DIR Registration number;
i. List of owners;
j. List of corporate officers with titles (if applicable); and
