1 Term & Supply Contract with Quantities
0 TERM AND SUPPLY CONTRACT for furnishing City of Columbia with Wood Utility Poles, as needed and as
requested, from date of award through One Year. AGREE PRICES WILL BE FIRM FOR THE FIRST YEAR OF THE
CONTRACT PERIOD. The quantities listed in this request for quotation are an estimate of the quantities that will be
needed for the first year of the contract period. The City reserves the right to increase or decrease these quantities
as needed.

1 Renewal Options
2 Term & Supply Contract Renewal Options: Contract subject for renewal at the end of the first contract period, for
four (4) additional one-year periods, based upon agreement by both parties as to pricing, delivery, past vendor
service, etc. This contract may be canceled by the City upon 10 days written notice to the vendor for non-
compliance to these requirements, delivery problems, or other just cause so deemed by the City.

1 Escalation/De-escalation Clause
3 Escalation/De-escalation Clause: Bid prices shall remain firm for the first three months from the date of the award.
After the end of the first three months, the pricing may be changed only once per every three months for the
following reasons:
A. An increase or decrease in the supplier’s cost of materials may be justification for price change; however, this
shall not be construed in any way to increase vendor’s profit.
B. All written requests for price increase must include backup documentation as to the nature of the increase and
shall be submitted to the City Purchasing Agent at least thirty (30) calendar days prior to the scheduled price
increase/decrease or renewal of contract.
Approval of each request shall be by written confirmation from the City Purchasing Agent. If the City should consider
said increase unwarranted or unreasonable, the City reserves the right to terminate the contract with the vendor.
Any price decline at the manufacturer’s level shall be reflected in an immediate reduction of the contract prices and
the vendor shall notify the buyer of said decline.
The costs proposed shall be all inclusive for all fees, material, labor, delivery, etc.

1 Item Preferences
5 It is preferred that each pole have a 15 one way roof. Poles with a flat roof or a two way roof are acceptable and will
not be rejected. It is not required that poles be predrilled or framed. Poles that are framed to the REA M20
specification are acceptable and will not be rejected. Specifications attached in bid documents. Evaluation on this
pole will be made considering the poles conformance to specifications (both preferred and mandatory), as well as
the lead times quoted. Provide the average weight per pole (in pounds) and number of calendar days required to
deliver after receipt of Purchase Order.
1 Cooperative Procurement

The contractor shall provide Wood Utility Poles as described herein under the terms and conditions, requirements and
specifications of the contract, including prices, to other government entities in accordance with the requirements stated herein.
The contractor shall further understand and agree that participation by other governmental entities is discretionary on the part of
that governmental entity and the City of Columbia bears no financial responsibility for any payments due the contractor by such
governmental entities.
